Welcome to Eventaro. Eventaro is operated by GracefieldTech LLC ("Eventaro," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Eventaro's website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use our Services.

SMS Messaging Terms

By providing your mobile phone number and opting in to receive SMS messages from Eventaro, you consent to receive automated text messages including event invitations, reminders, updates, and notifications.

Consent to Receive SMS Messages

When you opt-in to SMS notifications or when an event organizer sends you an SMS invitation through Eventaro, you agree to receive automated text messages at the phone number you provided. These messages may include:

Event invitations from event organizers
RSVP confirmations and updates
Event reminders (date, time, location changes)
Payment confirmations for paid events
Service notifications related to your account

Message Frequency

Message frequency varies and depends on your event activity. You may receive multiple messages per event (invitation, reminders, updates). The number of messages you receive will depend on how many events you create or are invited to attend.

Message and Data Rates

Message and data rates may apply. Standard text messaging rates from your mobile carrier will apply to all SMS messages you send and receive through Eventaro. Eventaro does not charge for SMS messages, but your carrier may charge based on your mobile plan. Contact your mobile carrier for details about your plan's messaging rates.

How to Opt-Out (STOP)

You can opt-out of receiving SMS messages at any time by texting STOP to any message you receive from Eventaro. After you send "STOP," you will receive one final confirmation message that you have been unsubscribed. You will no longer receive SMS messages from Eventaro unless you opt-in again.

Note: Opting out of SMS messages will not cancel your Eventaro account or prevent you from using other features of the platform. You may continue to use Eventaro and receive email notifications.

Help and Support (HELP)

For assistance or more information about SMS messages, text HELP to any message from Eventaro. You will receive information about the SMS program. You may also contact our support team at [email protected].

Supported Carriers

Eventaro SMS services are available on major U.S. wireless carriers including AT&T, T-Mobile, Verizon, Sprint, and other participating carriers. Service availability may vary by carrier and geographic location. Not all carriers may support all features.

Your Responsibilities

When using SMS features, you agree to:

Provide a mobile phone number that you own and are authorized to use
Only send invitations to individuals who have consented to receive communications from you
Comply with all applicable laws, including TCPA and anti-spam regulations
Not use SMS features to send spam, harassing messages, or unsolicited commercial content
Update your phone number if it changes to ensure proper service delivery

Consent Not Required for Purchase

Your consent to receive SMS messages is not a condition of purchasing or using any Eventaro services. You may use Eventaro without enabling SMS notifications by choosing email-only communications.

1. Account Registration and Security

Account Creation

To use certain features of Eventaro, you must create an account. When creating an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Be at least 13 years of age (or the age of majority in your jurisdiction)
Be responsible for all activities that occur under your account

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to immediately notify us of any unauthorized use of your account or any other security breach. Eventaro will not be liable for any loss or damage arising from your failure to protect your account credentials.

2. Description of Services

Eventaro provides an AI-powered event planning platform that enables users to:

Create and manage events using conversational AI
Generate custom invitation images using AI technology
Manage guest lists and contact information
Send event invitations via SMS and email
Track RSVPs and guest responses in real-time
Process payments for ticketed or paid events through integrated payment processors
Communicate with guests through the platform

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Acceptable Use and Conduct

When using Eventaro, you agree to comply with all applicable laws and regulations. You also agree NOT to:

        Prohibited Activities
        Spam or Unsolicited Messages: Send unsolicited invitations, spam, or bulk messages to individuals who have not consented to receive communications from you
Harassment or Abuse: Use the Services to harass, threaten, intimidate, or abuse any person
Illegal Activities: Use the Services for any illegal purpose or to violate any laws (including TCPA, CAN-SPAM, or other telecommunications regulations)
Fraudulent Conduct: Engage in fraudulent activities, impersonate others, or misrepresent your identity or affiliation
System Interference: Attempt to interfere with, compromise, or disrupt the Services, servers, or networks
Unauthorized Access: Access or attempt to access accounts, systems, or data that you are not authorized to access
Data Mining: Use automated systems (bots, scrapers) to collect data from the Services without permission
Intellectual Property Violation: Upload or distribute content that infringes on intellectual property rights of others
Malicious Content: Transmit viruses, malware, or any other harmful code

      

Guest Contact Information Requirements

When adding guests to your events and sending invitations, you represent and warrant that:

You have the right to share guest contact information with Eventaro
Guests have consented to receive communications from you
You will comply with all applicable privacy and data protection laws
You will honor any opt-out or unsubscribe requests from guests

4. Payment and Billing

Subscription and Fees

Certain features of Eventaro may require payment of fees. You agree to pay all applicable fees associated with your use of the Services. All fees are non-refundable unless otherwise specified or required by law. We reserve the right to change our fees at any time, with notice provided to you in advance of any changes.

Payment Processing

All payments are processed through our third-party payment processor, Stripe. By providing payment information, you:

Represent that you are authorized to use the payment method provided
Authorize us to charge your payment method for all fees incurred
Agree to Stripe's terms and conditions
Acknowledge that we do not store your complete payment card information

Event Payments and Tickets

If you collect payments from guests for ticketed events, you agree that you are responsible for delivering the promised goods or services. Eventaro acts as a platform facilitator and is not responsible for disputes between event organizers and guests. Event organizers are responsible for handling refunds and cancellations according to their stated policies.

5. Intellectual Property Rights

Eventaro's Intellectual Property

The Services, including all content, features, functionality, software, and design, are owned by Eventaro and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

Your Content

You retain ownership of all content you create or upload to Eventaro, including event details, messages, and other materials ("Your Content"). By using the Services, you grant Eventaro a worldwide, non-exclusive, royalty-free license to:

Host, store, and display Your Content as necessary to provide the Services
Use Your Content to improve our AI and machine learning models (in aggregated, anonymized form)
Distribute Your Content as you direct (e.g., sending invitations to your specified guests)

AI-Generated Images

Custom invitation images generated by our AI tools are provided to you with broad usage rights. Subject to these Terms, you may:

Download and use AI-generated images for your events and personal purposes
Share images with your event guests via invitations
Use images for non-commercial purposes beyond Eventaro
Modify or edit images as needed for your events

Important Limitations:

No Resale: You may not sell, license, or redistribute AI-generated images as standalone products
No Exclusivity: AI-generated images are not unique. Other users may receive similar outputs
No Copyright Claims: Under current U.S. copyright law, purely AI-generated content without substantial human creative input is not copyrightable
Attribution: While not required, we appreciate attribution when sharing AI-generated images publicly

6. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to our collection and use of information as described in the Privacy Policy.

7. Disclaimers and Limitations of Liability

Service Provided "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Eventaro does not guarantee that the Services will be uninterrupted, error-free, or secure.

No Guarantee of Message Delivery

While we strive to deliver all SMS and email invitations reliably, we do not guarantee delivery of messages. Message delivery may be affected by carrier issues, network problems, recipient settings, spam filters, or other factors outside our control. You are responsible for verifying that important messages have been received.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTARO SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages resulting from unauthorized access to or alteration of your data
Damages resulting from service interruptions or errors
Any damages exceeding the amount you paid to Eventaro in the 12 months preceding the claim

8. Indemnification

You agree to indemnify, defend, and hold harmless Eventaro, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable laws or regulations
Content you submit or transmit through the Services

9. Termination

Termination by You

You may terminate your account at any time by contacting [email protected] or through your account settings. Upon termination, your right to use the Services will immediately cease.

Termination by Eventaro

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if:

You violate these Terms or our policies
You engage in fraudulent or illegal activities
We are required to do so by law
We decide to discontinue the Services

Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will survive.

10. Dispute Resolution and Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Eventaro is headquartered, without regard to conflict of law principles.

Informal Resolution

Before filing a formal claim, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. We will work in good faith to resolve the dispute within 30 days.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms with a new "Last Updated" date and by sending you an email notification or displaying a prominent notice on the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

12. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eventaro regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.

No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Eventaro as a result of these Terms or your use of the Services.
